1. Description of the Service
Publish Everywhere is a content publishing and workflow platform that helps users create, adapt, schedule, publish, and manage content across supported third-party platforms. Features may include AI-assisted caption and description generation, multi-platform publishing workflows, scheduling, analytics, collaboration, and related tools.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use Publish Everywhere. By using the service, you represent that you have the legal authority to enter into these Terms.
If you use Publish Everywhere on behalf of a business, organization, or other entity, you represent that you are authorized to bind that entity to these Terms.
3. Accounts
You may need to create an account to use some or all features of Publish Everywhere. You agree to provide accurate information and keep it updated.
You are responsible for:
- maintaining the confidentiality of your login credentials
- all activity that occurs under your account
- ensuring that any team members or collaborators you invite are authorized to access the relevant workspace or content
We may suspend or terminate accounts that provide false information, violate these Terms, or create risk for the service or other users.
4. Third-Party Platforms and Integrations
Publish Everywhere may allow you to connect third-party services such as Google, YouTube, and other social or publishing platforms.
By connecting a third-party account, you authorize us to access and use information from that account as necessary to provide the features you request.
You acknowledge and agree that:
- your use of third-party services is also governed by the terms and policies of those third parties
- continued availability of integrations depends on those third parties
- we are not responsible for outages, API changes, restrictions, suspensions, or data practices of third-party platforms
- you are responsible for complying with the rules, community guidelines, and platform policies of any platform you use through Publish Everywhere
5. User Content
You retain ownership of the content, media, text, prompts, instructions, brand information, and other materials you upload, create, connect, or submit through Publish Everywhere ("User Content").
You grant Publish Everywhere a limited, non-exclusive, revocable license to host, store, process, reproduce, modify, and transmit User Content solely as necessary to operate, improve, and provide the service features you request.
You represent and warrant that:
- you own or have the necessary rights to your User Content
- your User Content and your use of the service do not violate any law, regulation, contract, intellectual property right, privacy right, publicity right, or platform policy
- you have all required permissions for any content you publish through the service
6. AI-Assisted Features
Publish Everywhere may provide AI-assisted features that generate captions, descriptions, text variations, or other outputs based on your content or inputs.
You acknowledge and agree that:
- AI-generated outputs may be inaccurate, incomplete, offensive, or unsuitable for your intended use
- you are solely responsible for reviewing and approving any AI-generated output before publishing or using it
- we do not guarantee performance, originality, legality, or fitness of AI-generated content for any purpose
7. Acceptable Use
You agree not to use Publish Everywhere to:
- violate any law or regulation
- infringe or misappropriate intellectual property or other rights
- upload or distribute unlawful, defamatory, fraudulent, deceptive, hateful, or abusive content
- distribute spam, malware, or malicious code
- attempt to gain unauthorized access to the service, accounts, or systems
- interfere with or disrupt the integrity or performance of the service
- use the service to impersonate another person or entity
- use automated means to scrape, reverse engineer, or exploit the service except as explicitly permitted by law
We may investigate violations and suspend or terminate access at our discretion.
8. Team Features and Shared Workspaces
If you use team, collaboration, or shared workspace features, you are responsible for:
- inviting only authorized users
- managing permissions appropriately
- ensuring your team’s use of the service complies with these Terms
We are not responsible for internal disputes between workspace members, admins, collaborators, or organizations.
9. Service Availability and Changes
We may modify, suspend, or discontinue any part of Publish Everywhere at any time, with or without notice.
We do not guarantee that the service, or any feature or integration, will always be available, uninterrupted, secure, or error-free.
10. Fees and Payments
Some features of Publish Everywhere may be free, and some may require payment.
If paid plans or paid features are offered:
- pricing and billing terms will be presented at the time of purchase
- you authorize applicable charges for the selected plan or service
- unless otherwise stated, fees are non-refundable except where required by law
We may change pricing or introduce new charges in the future.
11. Intellectual Property
Publish Everywhere and all related software, branding, design, interfaces, workflows, text, graphics, and service content, excluding User Content, are owned by us or our licensors and are protected by applicable intellectual property laws.
These Terms do not grant you any ownership rights in Publish Everywhere. We grant you a limited, revocable, non-transferable, non-exclusive right to use the service in accordance with these Terms.

13. Termination
You may stop using the service at any time.
We may suspend, restrict, or terminate your access to Publish Everywhere at any time, with or without notice, if:

- we believe your use creates legal, security, or reputational risk
- a third-party platform requires or causes access restrictions
- we discontinue the service
Upon termination, provisions that by their nature should survive termination will remain in effect, including provisions regarding ownership, disclaimers, limitations of liability, indemnity, and dispute-related terms.
14. Disclaimers
Publish Everywhere is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
We do not guarantee:
- that the service will meet your requirements
- that publishing or scheduling will always succeed
- that integrations with third-party platforms will remain available
- that analytics, AI outputs, or platform-specific recommendations will always be accurate or complete
15. Limitation of Liability
To the maximum extent permitted by law, Publish Everywhere and Arundel Kramer will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, content, business opportunities, or other intangible losses arising out of or related to your use of the service.
To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the service or these Terms will not exceed the greater of:
- the amount you paid us, if any, in the 12 months before the claim arose, or
- one hundred U.S. dollars (USD $100)
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless Publish Everywhere and Arundel Kramer from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your User Content
- your use of the service
- your violation of these Terms
- your violation of any law or third-party right
- your use of any third-party integration through the service
17. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
18. Changes to These Terms
We may update these Terms from time to time. If we do, we will update the Effective Date at the top of this page. Your continued use of the service after updated Terms become effective constitutes your acceptance of the revised Terms.
